Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of Tribe Terminal's wallet, Tally links, Tally Streams, EAT SOL and EAT TRIBE services, websites, mobile apps, and APIs operated by Tribe Terminal ("Tribe Terminal", "we", "us", "our"). By accessing or using Tribe Terminal, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use Tribe Terminal.

3.1 Solana Wallet

Tribe Terminal provides non-custodial wallet features for Solana accounts, tokens, swaps, Tally links, and account cleanup. You are responsible for safeguarding your wallet, device, PINs, and recovery phrase.

3.2 Tally Links

Tally links are shareable payment requests. Anyone with a valid link may see the payment details encoded in that link. Verify all payment details before signing.

3.3 Tally Streams

Tally Streams are on-chain streaming payment tools for SOL and SPL tokens. Stream state, escrow activity, recipient claims, cancellation, and close actions are recorded on Solana and may be publicly visible.

3.4 EAT SOL and EAT TRIBE

EAT SOL and EAT TRIBE services may include rewards, token utility, campaigns, or product experiences. Token values can be volatile, and participation is at your own risk.

4. Wallet and Private Keys

Critical: You are solely responsible for your wallet private keys and recovery phrase. Tribe Terminal never asks for your private keys. We cannot recover lost keys or reverse transactions. Loss of keys means permanent loss of access to your funds.

5. Fees and Transactions

5.1 Network Fees

Solana blockchain transactions require network fees. These fees go to Solana validators, not Tribe Terminal. Fees are subject to network congestion and outside our control.

Blockchain transactions are irreversible. Once confirmed on Solana, transactions generally cannot be undone. Verify all details before confirming.

7.1 Tribe Terminal Ownership

Tribe Terminal and its logos, trademarks, designs, and software are owned by Tribe Terminal or its licensors. All rights reserved. You may not use our branding without written permission.

7.2 User Content

You retain ownership of your wallet content, memos, links, and other content. By using Tribe Terminal, you grant us a limited license to transmit, route, display, cache, and process content only as needed to provide the services.

7.3 Open Source

Certain Tribe Terminal components may be open-sourced under MIT, Apache, or similar licenses. Open-source code is provided "as is" without warranty.

8. Disclaimers and Warranties

Important: Tribe Terminal is provided "as is" and "as available" without warranties of any kind.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free service, secure service, accuracy, reliability, and correction of defects.

To the maximum extent permitted by law:

Tribe Terminal, its officers, directors, employees, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or goodwill; service interruptions; unauthorized access; third-party conduct; failed transactions; lost funds; token volatility; or NFT value changes.

Our total liability to you shall not exceed $100 USD or the amount you paid us in the past 12 months, whichever is greater.

You agree to indemnify, defend, and hold harmless Tribe Terminal from any claims, liabilities, damages, losses, or expenses arising from your use or misuse of Tribe Terminal, your violation of these Terms, your violation of any laws or third-party rights, or your transactions.

11. Termination

11.1 By You

You can stop using Tribe Terminal anytime. Your blockchain data remains on Solana because we cannot delete it.

11.2 By Us

We may suspend or terminate access if you violate these Terms, engage in fraudulent or illegal activity, pose a security risk, or abuse our services.

11.3 Effect of Termination

Your license to use Tribe Terminal ends. You remain liable for pre-termination conduct. On-chain data and active blockchain accounts may remain accessible according to Solana protocol rules.

12. Compliance and Regulations

12.1 KYC

Tribe Terminal does not currently require KYC for basic usage. We reserve the right to implement KYC if required by law or for high-value transactions.

12.2 AML

We prohibit money laundering and comply with applicable AML regulations. Suspicious activity may be reported to authorities.

12.3 Securities Law

EAT SOL, EAT TRIBE, and other tokens may be subject to legal and regulatory requirements. You are responsible for understanding and complying with laws in your jurisdiction.

12.4 Sanctions

You may not use Tribe Terminal if you are on OFAC sanctions lists or located in embargoed countries.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

13.2 Arbitration

Any disputes will be resolved through binding arbitration under AAA rules, rather than in court. Arbitration is conducted individually, with no class actions.

13.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or urgent security matters.

14. Changes to Terms

We may update these Terms to reflect new features, legal requirements, or security improvements. Material changes may be announced by website banner, in-app notice, or other reasonable means. Continued use after changes constitutes acceptance.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tribe Terminal.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not transfer these Terms to anyone else. We may assign our rights to affiliates or acquirers.

15.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, cyber attacks, and network outages.
